new here,

Looking at a 2004 M3 13000 miles, one owner, mint condition with SMG, 19' and H/K sound system.

Dealer ask for 49k ... edmunds say 45 and private party is ~42-43

what will be a good price.. ?

Print out the edmunds page and show them that it should be 45 not 49

42-45 depending how close it is to exactly what you want.

dealer wanted 61.9 for my car (with certified pre-owned status, 59.9 without), i drove it home for 56.2 after tax/title/tags/etc. my initial offer was 54.5, well under kbb private party value (57.1), and getting close to trade-in (52.5 at the time). after i bought it I found out it had lojack, so i got that for free :)

start low and see what they're expecting to get for it, give them a solid offer and see if they'll take it, if not keep looking. The last thing you want to do is make them think that you have to have the car, cause then they won't budge on the price, you'll be back. It's also the worst time of year to buy a sports car.. springtime is when they fly off the lots. If they don't sell to you someone else will come by and pick it up.

also see if they can throw in stuff like CPO, a cd changer, etc. Stuff that may retail for quite a bit, but they can get installed for much less.

I've seen a e46 m3 around where i live for 36k no problems mint condition. was a 02 with like 46k miles

I bought basically that exact car for 46K, but it was a Convertible!! Had 14K miles on it.
