The same advice others have asked for, but here we go.
The household is about to have another sedan added. So I want to "swap" my current car, a '01 740is for a "base model" 01' e46 M3 (only option is width adjustable seats). I'm looking for a "quick"/ "reliable" (don't know much about the 3.2/6) "fun car ". What advice can you guys offer on pricing (car has 40,000 miles. Dealer is asking, what I'm guessing is a stupid $36,500) and other things I should be looking out for.

If it aint LSB 30-32 should be the highest it goes. LSB goes for such a premium though

Of course the stealer is going to ask a little more. Why not look at an '03 maybe even '04 for 36-38k.
Personally I would go for a newer year model that has (or does not need) the rod bearing recall done or already has it done.

Laguna Seca Blue, a highly prized color. Beautiful. It's compared to a brighter estroil blue, like the color of the ocean and this smiley face :D (sorry I dont have any LSB pics on photobucket to put up)

I paid $34,500 for my '02 SMG w/ 37k miles and this was in Oct/05. But like LittleLee said, try and go for an '03 or newer if you can. Persoanlly, I would never get an '01, it's just something I grew up hearing about buying a car in it's first year run.

Dang you got a deal on yours!
I didn't want to mention the '01 taboo of buying cars when they first come out because I didn't want to offend anyone on this board who drives an '01. But yes this is also true.

I don't mean to offend anyone that owns an '01 either but this is just something I've always heard growing up so it kind of stuck.
I guess I did get a decent deal. $34,500 was the asking price and I didn't try to haggle because they did me a favor by holding the car for a few weeks. Even when I went to pick it up, people came to ask about the car. I searched all over for months... eBay, Autotrader and local papers.
Take your time and look for what you want... you'll find it.
