One of my friends up in MD is looking at buying this car. I know a lot about E36 but have no clue about pricing, etc on the E46. If I could get some feedback that'd be great.

i'd even offer a little less based on mileage. the e46 market is terrible for sellers right now.

go in at 21k and leave room in your pocket book to split the difference between their asking price and your offer.

I agree with everyone else here. Offer a little less than asking. Since the introduction of the E90, E46 prices are dropping.
